Service availability, features, and pricing are subject to change. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

4. Service Engagement

When you engage our services, the following terms apply:

• Service scope, deliverables, and timeline will be defined in a separate service agreement
• You agree to provide accurate information and timely access to necessary resources
• We will perform services with professional care and skill
• Both parties will maintain confidentiality of proprietary information
• Changes to project scope require mutual written agreement

Client Deliverables

Upon full payment for services, you receive a non-exclusive license to use the deliverables we provide for your internal business purposes. We retain ownership of our methodologies, frameworks, and any pre-existing intellectual property.

Client Data

You retain all rights to data you provide to us. We use your data only as necessary to deliver our services and in accordance with our Privacy Policy.

7. Payment Terms

Payment terms for our services are as follows:

• Pricing is quoted in Malaysian Ringgit (RM) unless otherwise specified
• Payment terms will be specified in your service agreement
• We accept bank transfer and other payment methods as agreed
• Late payments may be subject to interest charges as permitted by law
• All fees are exclusive of applicable taxes

Refund Policy

Refunds are considered on a case-by-case basis. For strategy alignment services completed, refunds are not available. For ongoing services, we may provide partial refunds for work not yet performed, at our discretion.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of our engagement. This obligation continues for 3 years after the end of our service relationship.

Confidential information does not include data that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

Our services are provided on an "as is" basis. While we strive for excellence, we make no warranties regarding:

• Specific business outcomes or results from AI implementation
• Uninterrupted or error-free service delivery
• Compatibility with all systems or platforms
• Fitness for any particular purpose beyond our service scope

We are not liable for decisions you make based on our recommendations. Our services do not constitute legal, financial, or other professional advice beyond the scope of AI technical consultation.

10. Limitation of Liability

To the maximum extent permitted by Malaysian law:

• Our total liability for any claim shall not exceed the fees paid for the specific service giving rise to the claim
• We are not liable for indirect, incidental, consequential, or punitive damages
• We are not liable for damages resulting from your use or inability to use our services
• We are not liable for third-party actions or content

These limitations apply regardless of the legal theory (contract, tort, negligence, etc.) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless Ethera, its officers, employees, and contractors from any claims, damages, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate our service relationship:

• For convenience, with 30 days written notice
• Immediately, if the other party materially breaches these terms
• Immediately, if required by law or regulation

Upon termination:

• You remain responsible for payment for services rendered
• We will provide work completed to date
• Confidentiality obligations continue
• Provisions intended to survive termination remain in effect

13. Dispute Resolution

Governing Law

These Terms are governed by the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Informal Resolution

Before initiating formal proceedings, parties agree to attempt good faith resolution through direct negotiation for 30 days.

Mediation

If negotiation fails, parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally unless otherwise agreed.

14. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Ethera.

Severability

If any provision is found unenforceable, the remaining provisions continue in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our written consent. We may assign our rights and obligations with reasonable notice.

Force Majeure

Neither party is liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, or government actions.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or website notice at least 30 days before taking effect. Your continued use of our services after changes become effective constitutes acceptance of the new terms.
